Digital Asset Risk Warning & Owner Legal Safeguard Notice

Cryptocurrency transactions are inherently risky, decentralized, and irreversible. By transmitting digital currency to ClaudeKeys, you acknowledge and agree that the website owner(s), operators, and affiliates bear zero legal or financial liability for any lost, stuck, unconfirmed, or misdirected funds. You irrevocably agree that you will not initiate, file, or join any lawsuit, class action, or legal case against the owner, and you agree to resolve all matters exclusively through individual binding arbitration in accordance with United States law.

1. Non-Financial Institution Notice

ClaudeKeys operates exclusively as an artificial intelligence proxy and computational inference technology provider. We are not:

  • A bank, credit union, trust company, or depository institution;
  • A custodial wallet provider or cryptocurrency exchange;
  • A money services business (MSB) or money transmitter under the U.S. Bank Secrecy Act or FinCEN regulations;
  • An investment advisor, broker-dealer, or financial intermediary.

Cryptocurrency transfers sent to ClaudeKeys constitute commercial payments for programmatic computing resources and API token quotas, and do not represent bank deposits, securities, or financial investments.

2. Cryptocurrency Price Volatility

Digital asset market valuations fluctuate rapidly. To provide predictable developer pricing, all ClaudeKeys plans and token rate cards are pegged to the United States Dollar (USD).

When you initiate a crypto top-up or plan purchase:

  • The required cryptocurrency quantity is calculated based on current market index feeds and locked for exactly 30 minutes;
  • Market movements occurring after invoice generation or during mempool confirmation do not alter the locked USD credit amount, provided payment is confirmed within the expiration window;
  • ClaudeKeys is not liable for price changes, slippage, or exchange rate discrepancies incurred while purchasing cryptocurrency on third-party exchanges.

3. Blockchain Congestion & Network Confirmation Times

The time required for an invoice to transition from "Pending" to "Confirmed" depends on decentralized consensus mechanisms and network conditions:

  • USDT (TRC-20, BEP-20, Solana): Typically confirms in 1 to 3 minutes.
  • Bitcoin (BTC): Requires 1 to 2 network confirmations (typically 10 to 30 minutes depending on block times and miner fee priority).
  • Ethereum (ETH / ERC-20): Requires 12 network confirmations (typically 3 to 6 minutes).

During periods of severe blockchain congestion, confirmation delays may occur. Your ClaudeKeys balance will be credited automatically the moment the required block confirmations are registered by our node monitors.

4. Irreversibility, Network Matching & Permanent Asset Loss Warnings

Ensure Complete Address & Network Matching:

  • Always confirm that you are sending the exact cryptocurrency specified to the exact blockchain network indicated on your deposit screen (e.g., sending USDT on TRC-20 to a TRC-20 address).
  • Sending tokens across incompatible networks (e.g., sending ERC-20 tokens to a Solana address, or BEP-20 tokens to a TRC-20 address) results in permanent, irrecoverable asset loss.
  • ClaudeKeys has zero technical or administrative ability to recover, access, redirect, or refund digital assets transmitted to incorrect blockchain addresses or incompatible chains.

5. Total Disclaimer of Owner Liability & Assumption of Transaction Risk

5.1 Inherent Digital Asset Risks: You acknowledge and accept that peer-to-peer cryptocurrency transfers over public decentralized blockchains carry unavoidable technical, protocol, and network risks, including but not limited to blockchain reorganizations (re-orgs), hard forks, node de-synchronization, mempool dropouts, miner fee exhaustion, smart contract bugs, validator slashing, and wallet provider failures.

5.2 Complete Exculpation of Website Owner: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE U.S. FEDERAL AND STATE LAW, THE OWNER(S), OPERATORS, FOUNDERS, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, AND SUCCESSORS OF ClaudeKeys (COLLECTIVELY, THE "OWNER PARTIES") SHALL HAVE ABSOLUTELY ZERO LIABILITY, RESPONSIBILITY, OR LEGAL OBLIGATION FOR ANY OF THE FOLLOWING OCCURRENCES:

  • Any loss, destruction, theft, disappearance, or depreciation of cryptocurrency during transmission, transit, or mempool propagation;
  • Payments broadcast with insufficient miner or gas fees that become stuck, delayed, dropped, or unconfirmed by blockchain validators;
  • Mistyped, corrupted, or erroneous recipient addresses entered by the developer or originating wallet application;
  • Transactions executed via unsupported tokens, smart contract methods, token rebases, or cross-chain bridges;
  • Third-party exchange withdrawal delays, custodial account freezes, or anti-fraud holds imposed by your wallet or exchange;
  • Any blockchain fork, consensus failure, validator downtime, or protocol exploit affecting any supported cryptocurrency network.

5.3 Sole Risk and Burden: You expressly agree that you transmit cryptocurrency entirely at your own risk. The Owner Parties do not act as your custodian, trustee, escrow agent, or fiduciary, and shall never be obligated to replace, reimburse, compensate, or restore lost digital assets.

6. Absolute Covenant Not to Sue & Legal Immunity

6.1 Covenant Not to Sue: In consideration for being granted access to the ClaudeKeys platform and developer API infrastructure, you hereby irrevocably, unconditionally, and permanently covenant, promise, and agree that neither you, nor any entity, affiliate, agent, heir, or representative acting on your behalf, shall ever:

  • File, institute, commence, maintain, prosecute, join, or assist in any lawsuit, civil complaint, claim, cause of action, arbitration demand, or adversarial proceeding of any kind against the Owner Parties in any state, federal, or international court, regulatory agency, or arbitral tribunal arising out of or relating to any lost cryptocurrency, failed transaction, uncredited deposit, blockchain delay, or payment dispute;
  • Seek monetary damages, restitution, punitive penalties, or equitable remedies against the Owner Parties for digital asset losses;
  • Allege negligence, breach of fiduciary duty, conversion, unjust enrichment, or bailment against the Owner Parties in connection with peer-to-peer blockchain transfers.

6.2 Complete Legal Bar & Defense: This Covenant Not to Sue operates as an absolute, full defense and complete bar to any legal proceeding initiated in violation of this Section. Any court or arbitrator of competent jurisdiction shall immediately dismiss any such proceeding with prejudice upon introduction of this Agreement.

6.3 Liquidated Damages & Full Attorney Fee Shifting: If you or your representatives breach this Covenant Not to Sue by filing, asserting, or prosecuting any lawsuit, claim, or complaint against the Owner Parties, you agree that you shall immediately indemnify and pay to the Owner Parties all actual attorneys' fees, legal defense costs, court fees, expert witness expenses, and travel expenditures incurred by the Owner Parties in defending against, transferring, or dismissing your action.

7. Mandatory Binding Arbitration & Class Action Waiver (U.S. Law Compliant)

This dispute resolution agreement is drafted in strict compliance with United States federal law, specifically the Federal Arbitration Act (9 U.S.C. §§ 1–16), and shall be enforceable to the maximum extent permitted by law:

7.1 Mandatory Individual Binding Arbitration

Any dispute, controversy, claim, or disagreement arising out of or relating to this Crypto Disclaimer, your payments, API usage, or the ClaudeKeys Services that cannot be resolved informally within thirty (30) days of written notice shall be resolved exclusively through final and binding individual arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules, before a single neutral arbitrator.

7.2 Absolute Waiver of Class Actions & Representative Proceedings

NO CLASS ACTIONS: YOU AND THE OWNER PARTIES EXPRESSLY AGREE THAT ALL DISPUTES MUST BE BROUGHT EXCLUSIVELY IN AN INDIVIDUAL CAPACITY AND NEVER AS A PLAINTIFF, CLASS MEMBER, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, CONSOLIDATED PROCEEDING, OR REPRESENTATIVE LITIGATION. THE ARBITRATOR SHALL HAVE NO AUTHORITY TO CONSOLIDATE CLAIMS OF MULTIPLE DEVELOPERS OR PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.

7.3 Complete Waiver of Jury Trial

NO JURY TRIAL: YOU AND THE OWNER PARTIES VOLUNTARILY, KNOWINGLY, AND IRREVOCABLY WAIVE ANY CONSTITUTIONAL OR STATUTORY RIGHT TO A TRIAL BY JURY IN ANY PROCEEDING ARISING FROM OR RELATING TO DIGITAL CURRENCY TRANSACTIONS OR THESE TERMS.

8. Prohibition of Extralegal Harm, Defamation & Retaliation

To preserve developer safety and platform integrity, you strictly agree that you shall not harm, retaliate against, threaten, or intimidate the Owner Parties in any manner, whether a transaction succeeds, is delayed, or is unrecoverable:

  • No Cyberattacks or System Abuse: You shall not execute, coordinate, or threaten any Denial of Service (DoS/DDoS) attack, automated botting, unauthorized scraping, credential stuffing, or exploit attempts against ClaudeKeys servers, APIs, or receiving wallets. Any such conduct will be referred immediately to federal law enforcement under the Computer Fraud and Abuse Act (18 U.S.C. § 1030);
  • No Defamation or Smear Campaigns: You shall not publish, disseminate, or sponsor false, disparaging, or defamatory statements, fake reviews, or smear campaigns on social media, public forums, or developer communities intended to damage the business reputation, goodwill, or personal standing of the Owner Parties;
  • No Doxxing, Harassment, or Extortion: You shall not publicly expose private operator identities, addresses, or personal data ("doxxing"), nor engage in extortion, blackmail, or abusive communications demanding manual compensations for lost blockchain transfers;
  • No Fraudulent Regulatory or Analytics Reports: You shall not submit false, fraudulent, or bad-faith reports to blockchain analytics companies (e.g., Chainalysis, TRM Labs) or financial regulators falsely labeling ClaudeKeys deposit addresses as fraudulent or compromised.

Any violation of this Section 8 shall constitute actionable common law tortious interference and extortion, entitling the Owner Parties to emergency injunctive relief, punitive damages, and statutory remedies.

9. Indemnification & Hold Harmless

You agree to fully defend, indemnify, and hold harmless the Owner Parties, their parent entities, subsidiaries, officers, directors, employees, and agents from and against any and all claims, demands, liabilities, damages, judgments, awards, losses, costs, expenses, and reasonable attorneys' fees arising out of or resulting from:

  • Your transmission of digital currency to or through the ClaudeKeys platform;
  • Any erroneous, misdirected, or unconfirmed cryptocurrency transfers initiated by you;
  • Your breach or violation of any provision of this Crypto Disclaimer, our Terms of Service, or our Acceptable Use Policy;
  • Your violation of any applicable federal, state, local, or international law, sanction, or regulation.

10. Conspicuous Limitation of Liability & Monetary Cap (U.S. Law Compliant)

CONSPICUOUS LEGAL NOTICE (IN ACCORDANCE WITH UNIFORM COMMERCIAL CODE § 2-316 AND RESTATEMENT (SECOND) OF CONTRACTS § 195):

10.1 NO CONSEQUENTIAL OR PUNITIVE DAMAGES: TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE OWNER PARTIES BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, EXEMPLARY, OR MULTIPLIED DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOSS OF DIGITAL ASSETS, LOST PROFITS, BUSINESS INTERRUPTION, LOSS OF DATA, SYSTEM DOWNTIME, OR REPUTATIONAL HARM, ARISING OUT OF OR IN CONNECTION WITH CRYPTOCURRENCY TRANSACTIONS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES IN ADVANCE.

10.2 MAXIMUM AGGREGATE MONETARY CAP: TO THE EXTENT ANY LIABILITY IS IMPOSED UPON THE OWNER PARTIES BY A COURT OR ARBITRATOR OF COMPETENT JURISDICTION NOTWITHSTANDING THE TERMS OF THIS AGREEMENT, THE TOTAL CUMULATIVE, AGGREGATE LIABILITY OF THE OWNER PARTIES FOR ALL CLAIMS OF ANY KIND SHALL BE STRICTLY LIMITED TO THE ACTUAL USD AMOUNT RECEIVED AND CREDITED TO YOUR ClaudeKeys ACCOUNT IN THE THIRTY (30) DAYS IMMEDIATELY PRECEDING THE OCCURRENCE, OR ONE HUNDRED DOLLARS ($100.00 USD), WHICHEVER IS LESS.

11. Anti-Money Laundering (AML) & Sanctions Compliance

ClaudeKeys is committed to preventing the use of its infrastructure for unlawful financial flows and illicit activities:

11.1 Sanctioned Jurisdictions & Entities

Residents, citizens, or entities located in jurisdictions subject to comprehensive United States Office of Foreign Assets Control ("OFAC") sanctions (including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine) or individuals designated on OFAC's Specially Designated Nationals (SDN) list are strictly prohibited from using ClaudeKeys or transmitting funds to our payment addresses.

11.2 High-Risk Wallet Screening

We reserve the right to screen incoming transaction hashes using automated blockchain risk analysis tools. Transactions originating from recognized cryptocurrency mixers (such as Tornado Cash), sanctioned smart contracts, darknet markets, or ransomware addresses will be rejected and blocked from platform crediting.

12. Developer Tax Responsibility & U.S. Governing Law

12.1 Tax Obligations: You are solely responsible for determining, calculating, reporting, and remitting any and all sales tax, value-added tax (VAT), capital gains tax, excise, or duties that may arise from acquiring, holding, or spending cryptocurrency to purchase ClaudeKeys credits under the laws of your jurisdiction.

12.2 Governing Law & Severability: This Crypto Disclaimer and all matters arising out of digital asset transactions shall be governed by and construed in accordance with the substantive laws of the State of Delaware and the federal laws of the United States of America, without giving effect to any principles of conflict of laws. If any provision of this document is determined by an arbitrator or court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
